Mergers and Acquisitions

Doing business in both domestic and international markets requires companies to continuously expand, reorganise or restructure their operations, products and services. Sometimes, geographical reorganization is also necessary. Our attorneys represent some of the largest Slovenian and foreign companies in business cooperation matters and various transactions.  

In sale and purchase transactions, we can assume the role of lead counsel or head of the advisory team, carrying out for the prospective buyer or seller all relevant activities in the transaction process, such as preparing the company for sale, conducting due diligence, preparing sales or offer documentation, obtaining approvals from state authorities or agencies, preparing or structuring the transaction, and concluding the relevant agreements, all with a view to ensure the highest possible level of legal certainty for the parties involved. 

Commercial Transactions

We proactively advise clients at all stages of concluding transactions. Our services include assessing the risks of individual legal transactions, participating in negotiations, preparing various agreements, advising during the term of the contractual relationship, and monitoring contractual performance. In this way, we help clients ensure smooth operations and reduce legal risks.  

 In commercial disputes, we advise and represent clients in both judicial and out-of-court proceedings. We work on the basis of carefully assessing the prospects of success and do not advise clients to enter into disputes where we see no realistic possibility of a favourable outcome. We strive for an amicable resolution of the dispute when this is in the best interests of the client.

Advising Foreign Investors and Companies

Our law firm provides foreign investors and companies with comprehensive support and advice on entering and carrying out investments and doing business in the Republic of Slovenia.  

Our advice includes in particular:  

  • interpretation of the regulatory framework,  
  • representation in all administrative procedures for obtaining the relevant permits and approvals,  
  • legal due diligence and preparation of contractual and transaction documentation,  
  • support and assistance in negotiations and contract conclusion.  

Competition Law

Competition law is of vital importance as it ensures fair competition between companies. Our firm has been focusing on this area for many years.As part of our services, we provide comprehensive support in notifying concentrations of companies in connection with planned transactions, reorganizations, mergers and similar matters.

We also advise on restrictions imposed by competition law on market conduct (prohibition of restrictive agreements, abuse of dominant position, acts of unfair competition) in order to ensure compliance of our clients' operations. At the same time, we offer representation in proceedings concerning infringements of competition law. We advise and represent clients in administrative proceedings, misdemeanor proceedings, and civil proceedings related to competition law.
